1.2 By accessing, browsing, or using the Platform, or by availing any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Platform or Services.

1.3 These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Finace India. This is an electronic record generated in accordance with the Information Technology Act, 2000, and does not require physical or digital signatures.

2. ELIGIBILITY AND ACCEPTANCE

2.1 You represent and warrant that you are at least 18 years of age or the age of majority in your jurisdiction and have the legal capacity to enter into binding contracts.

2.2 If you are using the Platform on behalf of an organization or entity, you represent that you have the authority to bind that entity to these Terms and you agree to these Terms on its behalf.

2.3 You agree that you will comply with all applicable laws, regulations, and these Terms when using the Platform and Services.

2.4 Your use of the Platform signifies your acceptance of these Terms. We reserve the right to modify these Terms at any time, and your continued use of the Platform constitutes acceptance of the modified Terms.

3. SERVICES OVERVIEW

3.1 Finace India provides professional services including but not limited to business registration and incorporation, income tax services, GST services, compliance management, intellectual property services, financial services, and legal advisory services (collectively, "Services").

3.2 We also provide a technology platform that facilitates online service requests, document management, compliance tracking, and various tools and calculators for business and financial purposes.

3.3 The Services are provided through qualified chartered accountants, company secretaries, lawyers, and other licensed professionals. However, information and recommendations provided are for general guidance only and do not constitute personalized professional advice. You should consult independent advisors before making business decisions.

3.4 No professional relationship (attorney-client, accountant-client, or fiduciary) is created merely by using the Platform or Services. We do not guarantee specific outcomes or results.

3.5 We reserve the right to modify, suspend, or discontinue any Service temporarily or permanently, with or without notice, without liability to you.

4. USER OBLIGATIONS

4.1 You agree to provide complete, accurate, and truthful information at all times. You must submit all required documents in proper format and within specified timelines. You are responsible for updating us promptly of any changes to your information.

4.2 You represent and warrant that all documents submitted are genuine, authentic, and free from forgery or tampering. You have lawful authority to provide such documents and hold all necessary rights and permissions.

4.3 If you provide information relating to third parties, you confirm having obtained their express written consent and authorize us to process and share their information as necessary for service delivery.

4.4 By using the Platform, you expressly consent to receiving communications via phone, email, SMS, WhatsApp, or other digital channels for service delivery, updates, support, and promotional purposes.

4.5 You shall not: (a) use the Platform for any illegal or unauthorized purpose; (b) violate any applicable laws or regulations; (c) infringe upon intellectual property rights; (d) transmit viruses, malware, or harmful code; (e) attempt to gain unauthorized access; (f) interfere with Platform operations; (g) impersonate any person or entity; (h) collect user information without consent; (i) use automated tools without permission; (j) reverse engineer or decompile the Platform; (k) submit false or fraudulent information; or (l) abuse or harass our staff or users.

5. SERVICE DELIVERY AND TIMELINES

5.1 Work is deemed to have commenced immediately upon successful payment processing, assignment to our service team, preliminary review, or any internal preparatory work. This applies for purposes of our refund and cancellation policy.

5.3 Many Services require government portal submissions, regulatory approvals, and third-party processing. We are not responsible for delays or rejections by government authorities or third parties.

5.4 If you are unresponsive to our communications: After 15 days of written reminder, we may place your case "on hold." After 45 days of total non-responsiveness, the case is deemed abandoned and no refund is applicable.

5.5 Services are considered complete upon successful submission to relevant authorities, receipt of acknowledgment or registration certificate, delivery of all agreed deliverables, or written confirmation of completion from our team.

6. FEES, PAYMENTS, AND TAXES

6.1 Payment must be made in full before commencement of work unless credit terms are agreed in writing. Payments are accepted via credit/debit cards, UPI, net banking, NEFT/RTGS, or other RBI-approved methods.

6.2 Payment gateway charges (typically 1-3%) are non-refundable. Invoices are issued in the name provided at the time of payment. All prices are in Indian Rupees (INR).

6.3 Unless expressly stated otherwise, all fees are exclusive of applicable taxes including GST. Taxes will be added to your invoice as per prevailing rates and regulations.

6.4 You may incur additional charges for expedited processing, scope modifications after commencement, resubmission due to errors, premium support, government penalties due to delays, or multiple revisions beyond agreed limits.

6.5 We reserve the right to modify pricing at any time. Price changes will not affect orders already placed and paid for, unless scope changes or additional services are requested.

7. REFUND POLICY

7.1 We are committed to fairness and transparency. Our refund policy acknowledges operational costs and non-recoverable government fees involved in our Services.

7.2 You are eligible for a 100% full refund if cancellation request is made within 12 hours of payment and work has not commenced (as defined in Section 5.1).

7.3 The following are non-refundable under any circumstances once paid: government fees (MCA, stamp duty, registration fees, trademark fees, etc.), third-party costs (Digital Signature Certificate, Notarization, KYC charges, etc.), payment gateway transaction charges, and statutory fees paid to regulatory authorities.

7.4 If you cancel after the cooling-off period or after work has commenced, refund amount is calculated as: Total Amount Paid minus all non-refundable costs already incurred minus pro-rata service fee for work completed (based on man-hours and standard rates).

7.5 To request a refund, email support@finaceindia.com with order details. We will review your request within 3 business days. If approved, a refund calculation statement will be provided. Refunds are processed within 7-10 business days to the original payment method.

7.6 If dissatisfied with service quality, contact us within 7 days of service delivery with detailed description and supporting evidence. We will investigate in good faith and may offer corrective action, re-work at no cost, or partial/full refund.

7.7 Refunds are not available: after final submission to government authorities, for time-sensitive/expedited services already initiated, for services marked "non-refundable," after successful delivery, for promotional/discounted services (unless stated), or due to change of mind after completion.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 All content, features, and functionality on the Platform are owned by Finace India or our licensors, protected by Indian and international copyright, trademark, patent, and trade secret laws.

8.2 We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal or internal business purposes in compliance with these Terms. This does not permit resale, collection of product listings, derivative use, downloading of account information, or use of data mining tools.

8.3 Any content you submit through the Platform remains your property, but you grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, and distribute such content for providing Services and improving the Platform.

8.4 Finace India name, logos, and related trademarks are our property. You may not use such marks without prior written permission. Other names and logos on the Platform are the property of their respective owners.

9. LIMITATION OF LIABILITY

9.1 The Platform and Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for purpose, non-infringement, accuracy, reliability, or availability. We do not warrant uninterrupted, secure, or error-free operation or guarantee specific outcomes or results.

9.2 To the maximum extent permitted by law, Finace India, its directors, employees, agents, and affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or business interruption arising from your use of the Platform or Services. Our total aggregate liability shall not exceed the amount you paid for the specific Service in the preceding 12 months.

9.3 Some jurisdictions do not allow exclusion of liability for consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

10. INDEMNIFICATION

10.1 You agree to defend, indemnify, and hold harmless Finace India, its affiliates, officers, directors, employees, agents, and partners from any claims, liabilities, damages, losses, and expenses, including legal fees, arising from your use of the Platform, violation of these Terms, violation of any law or third-party rights, any information or content you provide, or any fraudulent or illegal activity.

11. CONFIDENTIALITY AND DATA PROTECTION

11.1 We maintain strict confidentiality of information shared by you in accordance with professional standards applicable to chartered accountants and company secretaries. We will not disclose your confidential information to any third party except as required by law, with your consent, to service providers under confidentiality obligations, or to government authorities for service delivery.

12. TERMINATION

12.1 You may terminate your account at any time by contacting us. Termination does not affect ongoing service orders or payment obligations. Refund eligibility will be determined as per our Refund Policy.

12.2 We may suspend or terminate your access immediately, without notice, if you breach these Terms, engage in fraudulent/illegal activities, fail to cooperate in service delivery, abuse our staff, or provide false information. Upon termination, your right to use the Platform ceases immediately and we may delete your account and associated data.

12.3 Termination does not relieve obligations to pay outstanding amounts. Provisions that should survive termination include confidentiality, intellectual property rights, limitation of liability, and dispute resolution.

13. DISPUTE RESOLUTION

13.1 Before initiating formal proceedings, we encourage you to contact us to seek informal resolution. Many disputes can be resolved through good-faith discussions.

13.2 Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.
