Annual ROC Filings are statutory submissions made to the Registrar of Companies (RoC) under the Companies Act 2013. These filings — primarily the Annual Return and Financial Statements — are the government's primary mechanism for monitoring company health, governance, and compliance.

Who Must File Annual ROC Returns?
All registered companies must maintain their RoC filings up to date.
Private Limited Companies
All Pvt Ltd companies must file AOC-4 within 60 days and MGT-7 within 60 days of the AGM. AGM must be held within 6 months of the financial year-end.
Public Limited Companies
Public companies face the same filing requirements as Pvt Ltd but with stricter governance obligations — XBRL filing for larger companies and additional disclosures.
One Person Companies (OPCs)
OPCs file MGT-7A (simplified Annual Return) and AOC-4 within 180 days of the financial year-end — with more relaxed timelines.
Section 8 Companies
Section 8 (NGO) companies must file MCA annual returns in addition to their Income Tax Return (ITR-7). Their financial statements must also reflect the non-profit nature of activities.
