LLP Form 8 & Form 11

LLPs must file Form 8 (Statement of Accounts & Solvency) by October 30 and Form 11 (Annual Return) by May 30 every year. Late filing attracts ₹100 per day penalty.

Who Must File Annual MCA Returns?
All registered companies and LLPs must file annual returns, irrespective of business activity.
All Private & Public Limited Companies
Every company registered under the Companies Act 2013 must file AOC-4 and MGT-7 annually. This includes dormant companies and companies with zero turnover.
All LLPs
Every LLP registered with the MCA must file Form 8 and Form 11 each year. Filing is mandatory even if the LLP has not commenced business.
Section 8 Companies
Non-profit Section 8 Companies must also file MCA annual returns in addition to their Income Tax Return (ITR-7) and Charity Commissioner filings where applicable.
OPCs (One Person Companies)
OPCs file MGT-7A (simplified Annual Return) and AOC-4 within 180 days of the financial year-end — with more relaxed timelines than regular companies.
